About the Opportunity
The purpose of the job is to support Legal in the area of commercial transactions and Intellectual Property. Review advise and negotiate issues involving customer contracts. The associate attorney is expected to provide legal services to support one or more specific business units in the organization as assigned by the reporting attorney. Works under supervision.
Roles and Responsibilities
- Responsible for projects assigned regarding the development and negotiation of contracts on behalf of the Company’s business team and other stakeholders.
- Draft edit and negotiate contracts with customers suppliers and others who desire to contract with the Company obtain feedback on draft agreements from stakeholders and provide consolidated comments to the relevant stakeholders including but not limited to agreements for participation in the Company’s networks for health information messaging and connectivity data use agreements technology licensing agreements joint research projects and contracts with vendors supplying services or equipment to the Company.
- Provide accurate relevant and timely advice to your employer and other members of staff on a variety of legal topics that relate to the business sector and their products or services
- Work closely with and provide advice to teams within the Company responsible for the products/services requiring contracts or other documentation for delivery.
- Responsible for ensuring all relevant facts and legal considerations are assembled assessed and accurate before contracts are presented for execution as they relate to all business transactions.
- Evaluate and advise appropriate legal courses of action to meet the Company’s and other stakeholders’ needs.
- Provide accurate relevant and timely advice to your employer and other members of staff on a variety of legal topics that relate to the business sector and their products or services
- Analyse complex legal issues conduct legal research work and draft summary reports
- Draft and review legal plans in response to changing needs of the organization’s laws and government policies
- Direct and coordinate activities of project personnel to ensure the project progresses on schedule to and within the prescribed budget. Draft agreements and corporate resolutions
- Provide and review responses to RFPs as they come in
- Perform a variety of tasks as well as special projects as required
- Communicate with and manage any third-party bodies such as external counsel external procurement personnel or auditors
- Liaising with senior members of staff.
- May use some discretion and judgment and may work independently
- Redline and review agreements based on the organization’s contracting standards.
- Conduct legal research and drafting.
- Maintain and update the organization’s Contracts library.
Eligibility Criteria
- Knowledge in the field of law
- Require Juris Doctor degree or equivalent
- Require a licensed attorney with an active membership of a state bar or equivalent
- The ideal candidate should have a strong understanding of contract law and be able to effectively redline and review of cross-border software contracts.
- LL. B degree.
- Excellent written and verbal communication skills.
- Minimum 1 to 2 years of experience within a law firm or corporate legal department, with primary emphasis on software contract drafting and review.
