Responsibilities

  • As part of the Global GCO team, and as EY’s legal representative, the Global Legal Counsel will be responsible for drafting, negotiating, and advising on various procurement (and client) contracts.
  • IT contracts for multiple EY divisions and a variety of technologies (such as AI, robotics, analytics, and blockchain).
  • Software license contracts.
  • Hosted software/hosted services agreements.
  • IT Service Agreements and SLAs.
  • Software support agreements.
  • Sponsorship contracts.
  • Meeting and event contracts.
  • Services contracts.
  • Client Engagement Letters.
  • Drafting, reviewing, negotiating, finalizing, and advising on global procurement (and client contracts, as required) contracts (for EY and its global network member firms).
  • Providing business and legal advice and guidance to internal clients and end users regarding potential issues stemming from new and existing contracts
  • Working with internal clients to develop strategies to address issues identified.
  • Communicating progress, challenges, risks, and benefits to appropriate management levels, affected user groups, and other members of the GCO in the relevant jurisdictions.
  • Understanding practice and user business goals and how they impact the types of products and services procured.
  • Coordinating with cross-functional teams (tax, data privacy, and information security) with respect to contract review as appropriate.
  • Ensuring that accurate and sufficient contractual documentation is developed to effectively document procurement transactions and protect EY’s interests.
  • Preparing and maintaining internal contract summary reports for review as needed.
  • Understanding the EY policies that are relevant to transactions and how contract drafting, negotiation, and execution are impacted by those policies (independence, procurement, data privacy, etc.).
  • Ensuring that all contractual documents developed are compliant with EY policies.
  • Managing own workflow and proposing process improvements.
  • Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.
  • Guiding and handholding the junior team members in their day-to-day transactions.

Knowledge, Skills, and Experience

  • 3-4 years of technology/software-related negotiation experience (licensee side preferably)
  • It would be preferable if the candidates had at least some experience negotiating with the “big box” vendors (IBM, MSFT, SAP, etc.).
  • Excellent negotiation skills.
  • Excellent interpersonal skills with the ability to effectively communicate with internal stakeholders and vendors.
  • A high degree of cultural and emotional intelligence.
  • Ability to team effectively with the onshore legal team and colleagues in other functions.
  • Ability to grasp, understand, and accurately articulate and document technology transactions.
  • Expertise in contract law, contract drafting, software licensing, intellectual property, data protection, and privacy.
  • Ability to assess size, scope, and overall risk of contemplated transactions and to tailor contracts accordingly.
  • Highly responsive with the ability to manage high workload volumes efficiently and effectively.
  • Solution-oriented with a focus on exceptional client service;
  • Keen attention to detail.
  • Strong communication and English language (verbal and written) skills;
  • Solutions–oriented with a relentless focus on world-class execution of projects and tasks.

Strong academic record, 5-8 years of post-qualification experience.
